Terms and Conditions

Account Handover & Security Policy

Upon successful completion of the account setup, profile verification, and approval process, all login credentials and access details associated with the Artist or Label accounts shall be securely transferred to the Client.

Once the transfer is complete, the Client assumes full ownership and control of the accounts, including all associated digital assets, profiles, and distribution dashboards.

It is the responsibility of the Client to:

  1. Change all default passwords immediately after receiving account credentials.

  2. Activate Two-Factor Authentication (2FA) to enhance account security.

  3. Safeguard all login credentials and avoid sharing them with unauthorized individuals.

  • iMPULZE RECORDS shall not be held liable for any unauthorized access, loss, or compromise of accounts after successful transfer and confirmation of login details.

  • iMPULZE RECORDS shall not be held responsible if the distribution platform or any DSPs reject, remove, or block artist songs, releases, or accounts for any reason.

  • iMPULZE RECORDS shall not be accountable for any financial outcome, including whether my artist or brand or music generates income or not.

  • iMPULZE RECORDS shall not be held responsible if, at any point in the future, any platform blocks or restricts the account for any policy-related or technical reasons.

If the Client encounters login difficulties, forgets passwords, or faces account access issues, they may use the platform’s password recovery option or contact the platform support. The client may contact iMPULZE RECORDS for troubleshooting support.
Such assistance, if required, may be subject to an applicable service fee.

REMOTE PRODUCTION TERMS

A. PURPOSE OF THIS AGREEMENT

The Artist desires to engage the Producer for remote music production services. The parties acknowledge that remote production requires timely data exchange, clear feedback, and prompt communication. Efficient responses from the Artist directly impact delivery speed and project completion.

1. SERVICES PROVIDED

The Producer agrees to provide professional music production services, including:

  • Sound selection and patching

  • Sequencing and arrangement

  • Editing

  • Mixing

  • Mastering

The Producer shall use its best professional efforts to complete the Masters at times mutually convenient to both parties.

2. MASTER DELIVERY

Upon completion, the Producer shall deliver one (1) final mastered copy suitable for commercial distribution in the following formats:

  • WAV – 16-bit, 44.1kHz, stereo

  • FLAC – 16-bit, 44.1kHz, stereo

  • MP3 – 16-bit, 44.1kHz, stereo

The Producer warrants that the Master shall not knowingly contain unauthorized samples and agrees to indemnify the Artist against claims arising solely from Producer-introduced samples.

3. PAYMENT TERMS

  • Full payment is required upfront before commencement of work

  • Payment amount: The agreed amount per single track shall be paid in USD

  • All bank charges, transfer fees, and currency conversion costs are borne by the Artist

  • All payments are strictly non-refundable

4. FILE SUBMISSION & PROJECT DURATION

Accepted file transfer methods:
Dropbox, WeTransfer, custom uploader (preferred), WhatsApp, Telegram, Google Drive, Hightail, or artist-provided links.

Project Duration:
Estimated delivery timeline is 2–4 weeks, subject to timely Artist feedback and data submission.

5. ARTIST RESPONSIBILITIES

Stage 1 – Initial Submission

The Artist shall provide:

Sample beat or stems (optional)

Reference tracks (optional)

Fully recorded lead vocals (intro, verses, chorus, bridge, outro recommended)

Vocals recorded in a consistent tempo and key.

All submitted recordings must:

  • Be original and legally owned or cleared by the Artist

  • Be recorded in a professional environment

  • Be free from effects, autotune, or VST processing

  • Be delivered as raw WAV files (16-bit, 44.1kHz, stereo)

Stage 2 – Instrumental Development

Upon receipt of Stage 1 data, the Producer shall create the instrumental foundation and send it to the Artist for final vocal recordings, including:

  • Main lead vocals

  • Background vocals (BGVs)

  • Ad-libs

Revisions shall continue until project completion.

6. THIRD-PARTY BACKGROUND VOCALS/BACKUP

If third-party background vocalists are required, such services shall incur separate fees, negotiated independently from production costs.

7. COMMUNICATION

Communication shall be maintained primarily via WhatsApp or Telegram. Regular updates and revisions shall be provided until the Artist confirms satisfaction with the final Master.

8. OWNERSHIP & RIGHTS

Until full payment is received, the Producer retains ownership of the Master.

Upon full payment, the Producer grants the Artist a worldwide, exclusive license to commercially exploit the Master for all lawful purposes.

9. CREDIT

The Artist agrees to credit “Produced by iMPULZE RECORDS” on all commercial releases metadata.

All services rendered are deemed works made for hire. This Agreement does not establish a partnership or joint venture.

10. DATA PROVISION / FEEDBACK FAILURE

If the Artist:

  • Fails to submit required data

  • Submits recordings of unusable quality

  • Submits records in incorrect key or tempo or inconsistent key beyond correction

  • Submits vocal recordings that suffer from distortion, excessive noise, poor microphone technique, or untreated room acoustics often fall beyond corrective processing. NOTE: Mixing and mastering cannot fully restore clarity, tone, or detail that was never captured at the recording stage. Poor recording quality limits how good the final sound can be.

The Artist shall be required to re-record affected or whole parts.

If after 15 months from project commencement the Artist fails to supply required materials, the Producer may:

  • Deliver a mixed and mastered instrumental only

  • Close the project and mark services as completed

All payments remain non-refundable, and the Producer bears no further liability.

11. ADDITIONAL SERVICES

Services not covered under this Agreement—including remastering old tracks, additional stems, cover art design, or completion of abandoned projects—shall attract separate fees.

12. LIMITATION OF LIABILITY

The Producer shall not be liable for any indirect loss, revenue outcome, or third-party platform decisions. All fees remain non-refundable.

13. BINDING AGREEMENT

This Agreement is binding upon both parties.

IN-STUDIO MUSIC PRODUCTION TERM

A. PURPOSE OF THIS AGREEMENT

The Artist desires to engage the Producer for physical, in-studio music production services conducted at iMPULZE RECORDS’ studio location.

This Agreement does not cover remote production services.
All recording sessions shall take place on-site at the Producer’s studio.

1. SERVICES PROVIDED

The Producer agrees to provide professional in-studio music production services, which may include:

  • Sound selection and patching

  • Sequencing and arrangement

  • Recording (vocals and/or instruments)

  • Editing

  • Mixing

  • Mastering

The Producer shall use best professional efforts to complete the Masters during scheduled studio sessions agreed by both parties.

2. STUDIO SESSIONS & MASTER DELIVERY

Recording sessions shall be conducted in person at the Producer’s studio.

Upon completion, the Producer shall deliver one (1) final mastered copy suitable for commercial distribution in the following formats:

  • WAV – 16-bit, 44.1kHz, stereo

  • FLAC – 16-bit, 44.1kHz, stereo

  • MP3 – 16-bit, 44.1kHz, stereo

The Producer warrants that the Master shall not knowingly contain unauthorized samples introduced by the Producer and agrees to indemnify the Artist against claims arising solely from such samples.

3. PAYMENT TERMS

  • Full payment is required before commencement of studio sessions

  • Payment amount: The agreed amount per single track shall be paid in NGN (or USD equivalent)

  • All bank charges, transfer fees, and currency conversion costs are borne by the Artist

  • All payments are strictly non-refundable

4. STUDIO TIME, LATE ARRIVAL & OVERTIME

4.1 Session Scheduling
Studio sessions are booked by prior appointment and are time-based.

4.2 Late Arrival

  • Studio time begins at the scheduled session time, not the Artist’s arrival time

  • A 15-minute grace period may be allowed at the Producer’s discretion

  • Arrivals later than the grace period will result in reduced session time, not extended time

4.3 Overtime

  • Any session extending beyond the booked time is considered overtime

  • Overtime is charged at ₦10,000 per 30 minutes (or as otherwise stated by the Producer)

  • Overtime is subject to studio availability and must be paid before files are released

Failure to pay overtime fees may result in session termination or withholding of deliverables.

5. ARTIST RESPONSIBILITIES

The Artist agrees to:

  • Attend all scheduled studio sessions on time

  • Come prepared with lyrics, song structure, and creative direction

  • Perform recordings to professional standards

The Artist acknowledges that:

Mixing and mastering cannot fully repair poor vocal performance, distortion, excessive noise, bad microphone technique, or untreated room acoustics captured during recording.

Re-recording may be required where performance or recording quality is inadequate.

6. THIRD-PARTY VOCALISTS / MUSICIANS

If third-party vocalists or musicians are required, such services shall incur separate fees and are not included unless agreed in writing.

7. NO ALCOHOL & SUBSTANCE POLICY (ADDED)

7a. Zero-Tolerance Policy

iMPULZE RECORDS operates a strict zero-tolerance policy regarding alcohol and substances within its studio premises.

The following are strictly prohibited at all times:

  • Alcoholic beverages of any kind

  • Illegal drugs or controlled substances

  • Misuse or abuse of prescription medication

  • Any substance that impairs judgment, coordination, or professional conduct

7b. Enforcement

If the Artist or any accompanying person is found to be:

  • Under the influence of alcohol or substances, or

  • In possession of prohibited substances within the studio,

iMPULZE RECORDS reserves the immediate right to:

  • Refuse entry or terminate the session immediately

  • Withhold all recordings and deliverables

  • Deny refunds for the affected session

  • Refuse future bookings

7c. Safety & Liability

The Artist acknowledges that this policy is in place to:

  • Protect studio equipment and personnel

  • Ensure a safe, professional working environment

iMPULZE RECORDS shall not be liable for any injuries, losses, or incidents arising from violation of this policy.

7d. Guest Responsibility

The Artist is fully responsible for ensuring that all guests comply with this policy.
Any violation by a guest shall be treated as a violation by the Artist.

Violation of this policy constitutes a material breach of the In-Studio Music Production Contract.

8. STUDIO CONDUCT & DAMAGE POLICY

8a. Studio Conduct

The Artist and any accompanying persons agree to maintain professional conduct within iMPULZE RECORDS’ studio premises at all times.

The following are strictly prohibited without prior approval:

  • Smoking, vaping, or use of illegal substances inside the studio

  • Excessive noise, disruptive behavior, or harassment of staff

  • Unauthorized recording, filming, or live streaming within the studio

  • Bringing food or drinks near studio equipment

The Producer reserves the right to pause or terminate a session without refund if conduct is deemed unsafe, disruptive, or unprofessional.

8b. Equipment & Property Damage

The Artist shall be fully responsible for any damage caused by themselves or their guests to:

  • Studio equipment (microphones, interfaces, monitors, instruments, cables, etc.)

  • Studio property, furniture, or fittings

Where damage occurs:

  • The Artist agrees to cover the full cost of repair or replacement

  • Repair/replacement costs must be settled before any files are released

  • Severe damage may result in immediate session termination

Normal wear and tear is excluded from this clause.

8c. Liability for Guests

The Artist is responsible for the actions and conduct of all guests brought into the studio.
iMPULZE RECORDS reserves the right to limit the number of guests allowed during sessions.

8d. Health, Safety & Security

The Artist agrees to follow all studio safety instructions.
iMPULZE RECORDS shall not be liable for loss of personal items brought into the studio.

8e. Enforcement

Violation of this Studio Conduct & Damage Policy shall constitute a material breach of this Agreement and may result in:

  • Session suspension or termination

  • Withholding of deliverables

  • Additional charges for damages

  • Refusal of future studio bookings

This clause forms an integral part of the In-Studio Music Production Contract and is binding upon acceptance.

9. COMMUNICATION

All communication regarding scheduling, revisions, and approvals shall be conducted in person or via WhatsApp/phone.

10. OWNERSHIP & RIGHTS

Until full payment is received, the Producer retains ownership of the Master.

Upon full payment:

  • The Artist is granted a worldwide, exclusive license to commercially exploit the Master

  • The Producer retains no ownership interest unless otherwise agreed in writing

11. CREDIT & ATTRIBUTION

11.1 Mandatory Credit
The Artist agrees to credit the Producer as follows on all commercial releases, including but not limited to DSP metadata, YouTube descriptions, liner notes, and promotional materials:

“Produced by iMPULZE RECORDS”

11.2 Failure to Credit
Failure to properly credit iMPULZE RECORDS shall constitute a material breach of this Agreement.

In such cases, the Producer reserves the right to:

  • Issue a formal notice of breach

  • Demand immediate correction of credits

  • Initiate legal action to enforce credit rights

  • Request takedown or suspension of the infringing release from digital platforms until proper credit is applied

All costs arising from enforcement, including legal and administrative expenses, shall be borne by the Artist where permitted by law.

12. LIMITATION OF LIABILITY

The Producer shall not be liable for:

  • Commercial performance, revenue outcomes, or chart placement

  • Distribution decisions made by third-party platforms

  • Creative dissatisfaction after session completion

13. BINDING AGREEMENT

This Agreement is legally binding upon both parties.

CONTRACT AGREEMENT:
OFFICIAL ARTIST ACCOUNT SETUP FOR MUSIC DISTRIBUTION AND ARTIST MANAGEMENT

A. PURPOSE OF THIS AGREEMENT

This Agreement authorizes the Company to set up and facilitate an official artist account for digital music distribution at the Artist’s request, subject to international DSP compliance standards and the Company terms and conditions outlined below.

B. TERMS AND CONDITIONS

1. ROLE OF THE COMPANY (NON-DISTRIBUTOR STATUS)

The Artist expressly acknowledges and agrees that iMPULZE RECORDS is NOT a music distributor, digital aggregator, or Digital Service Provider (DSP).

iMPULZE RECORDS acts solely as a service facilitator and technical assistant, engaged by the Artist to:

  • Set up and configure an enterprise-level artist distribution account

  • Assist with onboarding, metadata input, and profile creation

  • Support initial music upload and compliance preparation

  • Assist with artist profile claiming and verification

· iMPULZE RECORDS does not collect, hold, split, or manage royalties

The Company’s involvement ends after successful account setup, and handover of login credentials.

All music distribution, hosting, monetization, royalty reporting, and enforcement are carried out directly by third-party distributors and DSPs selected the company or by the Artist.

2. SERVICES PROVIDED BY THE COMPANY

The Company shall Provide the Artist with the following services:

  • Official Artist account setup for global music distribution

  • Uploading of one (1) track, EP, or album (first release only)

  • SEO optimization for distribution visibility

  • Optimization of artist channels and social platforms

  • Assistance with artist profile claiming

  • Assistance with Google Knowledge Panel claiming

  • Artist biography and profile information setup and updates

3. ARTIST RESPONSIBILITIES

The Artist agrees to provide accurate, complete, and timely information and documentation required for account setup, including but not limited to:

  • Legal name

  • Artist / Stage name

  • Domiciliary account details

  • ITIN or Tax Identification Number (if applicable)

  • Valid international passport (white background)

  • National ID

  • Mobile phone number

  • Artist biography and profile information

  • Music cover artwork

  • Original music files to be uploaded

  • Complete metadata (album title, track titles, artist names, release date, credits, etc.)

Failure to provide required materials may delay or halt the process.

4. NON-REFUNDABLE POLICY
All payments made to the Company regarding account setup, music distribution services, or any related business transactions are strictly non-refundable under any circumstances.

5. SETUP FEE & PAYMENT TERMS

The Artist agrees to pay a non-refundable setup fee based on the selected package:

  • ₦200,000 – Basic Pack ( “Starter Launch”)

  • ₦300,000 – Starter Bundle (“Artist Essentials”)

  • ₦500,000 – Pro Bundle (“Global Artist Suite”)

    ₦3,000,000 – Label Bundle (“Label Management Suite”)

(or equivalent in USD)

Full payment must be made before commencement of the setup process.
All fees are strictly non-refundable.

6. PROVISION OF ORIGINAL MUSIC FILES & COVER ART
The Artist shall provide the Company with original music files (Single, EP, or Album) that the Artist fully owns and controls the copyright to, for the purpose of uploading, activation, and distribution across DSPs, digital stores, and social media platforms.

The Artist represents and warrants that:

  • All music files are 100% original

  • All compositions or lyrics is the Artist owns or controls all copyrights, master rights, and publishing rights

  • All samples, beats, or featured performances are properly cleared

  • Cover artwork is original or legally licensed for commercial use

Note:
Artist account setup and music distribution follow a step-by-step process. Each successfully completed stage allows access to the next stage.
Prompt submission of quality music files, compliant cover art, and accurate metadata helps speed up the entire process.

7. MUSIC FILES & COVER ART REQUIREMENTS

Audio Specifications

  • Format: WAV or FLAC

  • Sample Rate: 44.1kHz or 48kHz

  • Bit Depth: 16-bit or 24-bit

  • Must be 100% original and owned by the Artist

Cover Art Specifications

  • Format: JPG, JPEG, PNG, BMP, TIF, TIFF, or GIF

  • Dimensions: Minimum 3000 × 3000 px (1:1 square)

  • File Size: 1MB – 10MB

  • Must contain only artist name and track title

8. STEP-BY-STEP PROCESS NOTICE

The Artist acknowledges that:

  • Account setup and distribution follow a step-by-step process

  • Completion of each stage allows progression to the next

  • Profile claiming and verification can only occur after music is successfully approved and live

Timely submission of quality materials speeds up the process.

9. DISTRIBUTOR & DSP PLATFORM COMPLIANCE

The Artist understands that all submitted content is subject to the policies, technical requirements, and content standards of third-party distributors and DSPs, including but not limited to: Spotify, Apple Music / iTunes, Amazon Music, Boomplay, Deezer, Tidal, TikTok / TikTok music, Pandora, Audiomack, Anghami etc.These platforms operate under strict international compliance systems, similar to those enforced by FUGA, LabelGrid, and SonoSuite.

10. CONTENT PROVISION FAILURE OR REJECTION/ NON-APPROVAL

In the situation where the artist is unable to provide an original music files (single or EP or Album) for the company to upload on the artist account for the profile and music to go live on the different DSPs, digital stores and social platforms OR

In the event that the Distributor declines or refuses the submitted music due to poor quality, copyright infringement, unoriginal content, or for any other stated reason, the Artist shall be required to provide a new, original, and fully owned music file that meets the Distributor’s standards and policies.

Option 1: the Artist shall be required to provide a new, original, and fully owned music file that meets the Distributor’s standards and policies.

Option 2: The artist may request account handover from the company so that the artist may upload their music later when the have original music files. In such cases:

  • All setup fees remain non-refundable

  • The Company bears no financial or legal liability

Failure to Provide Original Music

If after a maximum period of fifteen (15) months from the account setup date the Artist is unable to provide acceptable original music files, the Company shall:

Hand over the Artist’s default login credentials and completed account setup (without music upload), and

Close the project, mark the service as completed, and shall owe the Artist no further obligations or services. In such cases:

  • All setup fees remain non-refundable

  • The Company bears no financial or legal liability

Note: What this Means is: the Artist account setup and music distribution is a step-by-step process and one successfully completed step gives an access to the next step. The artist profile can only live and artist verifications possible when a music file(s) has been successfully uploaded and approved for sales by the distributor. The artist can upload the music file by himself if the artist later has an original music. Also note that the account be terminated or deactivated for inactivity or tying to upload too many unoriginal or unaccepted music files …. We are making this Clear to the Artist because Once account login details are handed over, iMPULZE RECORDS bears no responsibility for inactivity, account suspension, or future losses. Every charge concerning artist account setup or any business with the company are nonrefundable.

11. PROFILE CLAIMING & VERIFICATION

After the approval and the official release of a track or an album, The Company shall handover the dashboard link and the default Login details to The Artist and The Artist shall change all the default passwords. The Company shall also get links from Spotify, boom play, apple, pandora, amazon, audiomack, TikTok, Deezer, Anghmi, Tidal and send it to The Artist to claim and verify their artist profile on the major platforms

12. HANDOVER & ACCOUNT ACCESS

Upon successful release of a track or an album,:

  • The Company shall securely handover all the default login credentials and provide dashboard links to the artist.

  • The Artist must immediately change all passwords

  • The Company will provide platform links including (but not limited to):
    Spotify, Apple Music, Boomplay, Amazon Music, Audiomack, Deezer, Tidal, TikTok, Pandora, Anghami, etc.

  • After successful handover, this account setup service shall be deemed completed

  • The Company owes no further obligation

  • All responsibility transfers fully to the Artist

13. PLATFORM SUPPORT & LOGIN ISSUES

After handover:

  • The Artist is responsible for contacting platform support for technical issues

  • The Company is not responsible for account recovery or platform-specific problems

14. PLATFORM TERMS & REJECTIONS

The Artist acknowledges that:

  • Distribution is subject to each platform’s policies

  • The Company is not liable for rejections, takedowns, copyright claims, or future restrictions

15. TERMINATION & COMPLETION OF SERVICE

The Company may terminate its services if the Artist:

  • Submits repeated unoriginal or rejected content

  • Violates platform policies

  • Fails to cooperate with setup processes

Upon termination or handover:

  • The service shall be deemed completed

  • The Company owes no refund or further obligation

  • All responsibility transfers fully to the Artist

16. ADDITIONAL SERVICES

Any services outside this Agreement—including pitching, promotion, advertising, lyrics synchronization, interviews, airplay, or campaigns—shall be negotiated separately with additional fees.

17. LIMITATION OF LIABILITY

The Company shall not be liable for any loss, damage, revenue outcome, or platform decision resulting from account operation or music distribution. All fees are strictly non-refundable.

18. BINDING AGREEMENT

This Agreement shall be binding upon both parties and their successors.
By signing below, the Artist confirms that they have read, understood, and agreed to all terms.

CONTRACT AGREEMENT:
ENTERPRISE ACCOUNT SETUP FOR MUSIC DISTRIBUTION AND ARTIST MANAGEMENT

A. PURPOSE OF THIS AGREEMENT

This Agreement authorizes the Company to set up and facilitate an enterprise artist account for digital music distribution at the Artist’s request, subject to international DSP compliance standards and the Company terms and conditions outlined below.

B. TERMS AND CONDITIONS

1. ROLE OF THE COMPANY (NON-DISTRIBUTOR STATUS)

The Artist expressly acknowledges and agrees that iMPULZE RECORDS is NOT a music distributor, digital aggregator, or Digital Service Provider (DSP).

iMPULZE RECORDS acts solely as a service facilitator and technical assistant, engaged by the Artist to:

  • Set up and configure an enterprise-level artist distribution account

  • Assist with onboarding, metadata input, and profile creation

  • Support initial music upload and compliance preparation

  • Assist with artist profile claiming and verification

· iMPULZE RECORDS does not collect, hold, split, or manage royalties

The Company’s involvement ends after successful account setup, verification, and handover of login credentials.

All music distribution, hosting, monetization, royalty reporting, and enforcement are carried out directly by third-party distributors and DSPs selected the company or by the Artist.

2. SERVICES PROVIDED BY THE COMPANY

The Company shall Provide the Artist with the following services:

  • Enterprise account setup for global music distribution

  • Uploading of one (1) track, EP, or album (first release only)

  • SEO optimization for distribution visibility

  • Optimization of artist channels and social platforms

  • Assistance with artist profile claiming

  • Assistance with Google Knowledge Panel claiming

  • Artist biography and profile information setup and updates

3. ARTIST RESPONSIBILITIES

The Artist agrees to provide accurate, complete, and timely information and documentation required for account setup, including but not limited to:

  • Legal name

  • Artist / Stage name

  • Domiciliary account details

  • ITIN or Tax Identification Number (if applicable)

  • Valid international passport (white background)

  • National ID

  • Mobile phone number

  • Artist biography and profile information

  • Music cover artwork

  • Original music files to be uploaded

  • Complete metadata (album title, track titles, artist names, release date, credits, etc.)

Failure to provide required materials may delay or halt the process.

4. NON-REFUNDABLE POLICY
All payments made to the Company regarding account setup, music distribution services, or any related business transactions are strictly non-refundable under any circumstances.

5. SETUP FEE & PAYMENT TERMS

The Artist agrees to pay a non-refundable setup fee based on the selected package:

  • ₦300,000Starter Bundle (“Artist Essentials”)

  • ₦500,000Pro Bundle (“Global Artist Suite”)

  • ₦3,000,000Label Bundle (“Label Management Suite”)

(or equivalent in USD)

Full payment must be made before commencement of the setup process.
All fees are strictly non-refundable.

6. PROVISION OF ORIGINAL MUSIC FILES & COVER ART
The Artist shall provide the Company with original music files (Single, EP, or Album) that the Artist fully owns and controls the copyright to, for the purpose of uploading, activation, and distribution across DSPs, digital stores, and social media platforms.

The Artist represents and warrants that:

  • All music files are 100% original

  • All compositions or lyrics is the Artist owns or controls all copyrights, master rights, and publishing rights

  • All samples, beats, or featured performances are properly cleared

  • Cover artwork is original or legally licensed for commercial use

Note:
Artist account setup and music distribution follow a step-by-step process. Each successfully completed stage allows access to the next stage.
Prompt submission of quality music files, compliant cover art, and accurate metadata helps speed up the entire process.

7. MUSIC FILES & COVER ART REQUIREMENTS

Audio Specifications

  • Format: WAV or FLAC

  • Sample Rate: 44.1kHz or 48kHz

  • Bit Depth: 16-bit or 24-bit

  • Must be 100% original and owned by the Artist

Cover Art Specifications

  • Format: JPG, JPEG, PNG, BMP, TIF, TIFF, or GIF

  • Dimensions: Minimum 3000 × 3000 px (1:1 square)

  • File Size: 1MB – 10MB

  • Must contain only artist name and track title

8. STEP-BY-STEP PROCESS NOTICE

The Artist acknowledges that:

  • Account setup and distribution follow a step-by-step process

  • Completion of each stage allows progression to the next

  • Profile claiming and verification can only occur after music is successfully approved and live

Timely submission of quality materials speeds up the process.

9. DISTRIBUTOR & DSP PLATFORM COMPLIANCE

The Artist understands that all submitted content is subject to the policies, technical requirements, and content standards of third-party distributors and DSPs, including but not limited to: Spotify, Apple Music / iTunes, Amazon Music, Boomplay, Deezer, Tidal, TikTok / TikTok music, Pandora, Audiomack, Anghami etc.These platforms operate under strict international compliance systems, similar to those enforced by FUGA, LabelGrid, and SonoSuite.

10. CONTENT PROVISION FAILURE OR REJECTION/ NON-APPROVAL

In the situation where the artist is unable to provide an original music files (single or EP or Album) for the company to upload on the artist account for the profile and music to go live on the different DSPs, digital stores and social platforms OR

In the event that the Distributor declines or refuses the submitted music due to poor quality, copyright infringement, unoriginal content, or for any other stated reason, the Artist shall be required to provide a new, original, and fully owned music file that meets the Distributor’s standards and policies.

Option 1: the Artist shall be required to provide a new, original, and fully owned music file that meets the Distributor’s standards and policies.

Option 2: The artist may request account handover from the company so that the artist may upload their music later when the have original music files. In such cases:

  • All setup fees remain non-refundable

  • The Company bears no financial or legal liability

Failure to Provide Original Music

If after a maximum period of fifteen (15) months from the account setup date the Artist is unable to provide acceptable original music files, the Company shall:

Hand over the Artist’s default login credentials and completed account setup (without music upload), and

Close the project, mark the service as completed, and shall owe the Artist no further obligations or services. In such cases:

  • All setup fees remain non-refundable

  • The Company bears no financial or legal liability

Note: What this Means is: the Artist account setup and music distribution is a step-by-step process and one successfully completed step gives an access to the next step. The artist profile can only live and artist verifications possible when a music file(s) has been successfully uploaded and approved for sales by the distributor. The artist can upload the music file by himself if the artist later has an original music. Also note that the account be terminated or deactivated for inactivity or tying to upload too many unoriginal or unaccepted music files …. We are making this Clear to the Artist because Once account login details are handed over, iMPULZE RECORDS bears no responsibility for inactivity, account suspension, or future losses. Every charge concerning artist account setup or any business with the company are nonrefundable.

11. PROFILE CLAIMING & VERIFICATION

  • The Artist must not share any release links until profile claiming and verification are completed by the Company

  • The Artist’s presence is required during profile claiming (facial recognition, Google Panel verification, etc.)

AUTHORIZATION & ONE-TIME MUSIC UPLOAD SERVICE AGREEMENT

1. Authorization

The Client hereby authorizes iMPULZE RECORDS to temporarily access the Client’s music distribution account solely for the purpose of performing a one-time music upload service.

This authorization includes:

  • Uploading the Client’s approved music release(s)

  • Entering metadata, artwork, release dates, and related information as provided by the Client

  • Submitting the release to digital platforms through the Client’s own account

iMPULZE RECORDS does not act as a distributor, label, or rights holder under this Agreement.

2. Service Scope & Handover

This service is one-time only.
Upon completion of the upload and submission:

  • Full control of the account remains with and/or is returned to the Client

  • iMPULZE RECORDS shall not manage royalties, analytics, payouts, or future releases unless a new agreement is signed

3. Service Fee

The Client agrees to pay a non-refundable service fee of ₦50,000 (Fifty Thousand Naira) for this one-time upload service.

Payment must be made in full before the upload begins, unless otherwise agreed in writing.

4. Ownership & Responsibility

The Client confirms that:

  • They own or control all rights to the submitted recordings, compositions, and artwork

  • The content does not infringe on any third-party rights

  • Any copyright claims, takedowns, or disputes arising from the content are the sole responsibility of the Client

All intellectual property remains with the Client at all times.

5. Account Access & Confidentiality

The Client grants temporary access to their distribution account strictly for completing this service.
iMPULZE RECORDS agrees:

  • Not to change ownership details

  • Not to retain login credentials after service completion

6. Limitation of Liability

iMPULZE RECORDS shall not be responsible for:

  • Approval, rejection, or delays caused by digital platforms

  • Streaming performance, revenue, or promotion outcomes

  • Platform policy changes or technical issues beyond its control

7. Governing Law

This Agreement shall be governed by the laws of the Federal Republic of Nigeria.

8. Acceptance & Signature

By signing below, the Client confirms full understanding and acceptance of this Agreement.
